Terms of service
Effective date: 28 August 2026
These terms cover your use of StatementClerk, an application for Shopify stores that builds account statements from your store's records and emails them to your business customers on a schedule. StatementClerk is operated by MB Croppick, company code 308104331, registered office Krivių g. 5, LT-01204 Vilnius, Lithuania ("StatementClerk", "we", "us"). By installing or using the app, you agree to what follows. Questions: support@statementclerk.com.
The short version
- You install StatementClerk on your Shopify store, pick a schedule, and it emails each business customer a statement of their account — in your name, with your branding and your payment instructions.
- It reads your Shopify data and does arithmetic. It never takes payments, charges cards, or changes an order.
- Every statement is checked against itself and re-checked against Shopify before it is sent; anything uncertain is held and explained, never sent.
- Free for up to 5 companies. Pro is $24 a month, billed through Shopify, with a 14-day trial.
- Your data stays yours. Uninstall and it is deleted.
Who can use StatementClerk
StatementClerk is a business tool for Shopify merchants. To use it you need an active Shopify store with business (B2B) customers, and you must be authorised to install applications on it and to accept these terms on behalf of the business that owns it. It is not intended for consumers or for anyone under 18.
What the service does
For each of your business customers, StatementClerk computes an account statement for a period — opening balance, invoices, payments, refunds, corrections, closing balance, every open invoice with days past due — from the orders, payment terms, transactions and refunds recorded in your Shopify store, renders it as a PDF and a short email in your name, and sends it on your schedule (or holds it for your review, which is how the first cycle works). It also shows you, inside Shopify, who owes what.
Read-only on money. StatementClerk creates no orders, invoices or payments, charges nobody, and edits nothing in your store. A statement is a document about a balance; it is not a tax invoice and does not replace one.
Accuracy, and what you are responsible for
StatementClerk's figures are computed from Shopify's own records with no estimation and no artificial intelligence. Before a statement is sent, the app checks that its own arithmetic balances and re-reads the open orders from Shopify; if anything disagrees, the statement is held and shown to you with the reason, and nothing is sent.
That promise is about reproducing your records faithfully. It cannot make the records complete:
- Your Shopify records are the source. A payment your customer made by bank transfer or cheque exists on a statement only once it is marked as paid in Shopify. The app flags overdue items that may have been paid this way and holds the statement, but recording the payment is your action, in Shopify.
- You review the first cycle. Statements land in a review queue until you switch to automatic sending. Approving a statement means you have looked at it.
- Held statements are working as designed. A hold is the app declining to send a number it cannot stand behind.
- Branding, payment instructions and recipients are yours to set and check. What the statement asks your customer to do, and where it asks them to send money, is text you wrote.
We are not liable for losses arising from a statement whose figures were correct against your Shopify records at the time of sending, or from a statement you approved where the information needed to catch a problem was shown to you before you approved it.
We do not warrant that the service will be uninterrupted or error-free, and the service is otherwise provided "as is" to the extent the law allows.
Your account and your data
Your data — settings, companies, the ledger of money facts, statements and PDFs, delivery logs — belongs to you. We process it to run the service for you, as described in the privacy policy, which forms part of these terms.
For the people who receive your statements, you are the data controller and we act as your processor. For that processing the data processing agreement applies and forms part of these terms; where the two conflict on a data-protection matter, the agreement prevails. You are responsible for having a lawful basis to email statements to them, and for telling your own customers what you do with their data where the law requires it.
We do not sell your data, use it for advertising, or use it to train any model. There is no AI provider in the service.
Plans, billing and limits
- Free covers up to 5 companies with every feature.
- Pro is $24 per month with no company limit, charged monthly through Shopify's billing system and shown on your normal Shopify invoice. Prices are shown in the app and at statementclerk.com/pricing.
- Trial. Your store's first Pro subscription starts with a 14-day free trial. A store that cancels and subscribes again does not get a second trial.
- Over the Free limit. If you have more than 5 companies on Free, the statements for the additional companies are held — built, visible, and never sent — until you upgrade. Nothing is dropped or lost.
- Downgrading. You can move from Pro to Free at any time from the app. Billing stops at once; Pro stays in effect until the end of the period you already paid for.
- Changes to price. We may change prices with at least 30 days' notice in the app or by email.
- Refunds. The Free plan and the trial exist so you can judge the service on your own data before paying. We do not offer routine refunds for time already subscribed. If something on our side went wrong and cost you money, write to us — we would rather fix it than argue about it.
- Taxes are handled by Shopify as part of its billing.
Acceptable use
Don't use StatementClerk to:
- send statements to people you have no business relationship with, or use the service for marketing or bulk email;
- attempt to extract, reverse-engineer or resell the service;
- deliberately submit data designed to manipulate the service's output, probe other stores' data, or degrade the service for others;
- resell or provide the service to third parties as your own, or use one store's subscription to send statements for other businesses; or
- break the law, or Shopify's terms, with it.
We may suspend an account that is doing any of these, or that is generating load that threatens the service for others. Where we can, we will contact you first.
Availability and support
We aim to keep StatementClerk running continuously, and we will give reasonable notice of planned maintenance where we can. We do not offer a contractual uptime guarantee. If a scheduled run cannot complete, the missed period is produced on the next run — statements are never doubled and never silently skipped.
Support is by email at support@statementclerk.com, answered within one business day (Monday to Friday, European hours). There is no telephone or live-chat support.
Changes to the service
StatementClerk is actively developed and will change. We may add, alter or remove features. If we remove something you materially depend on, or make a change that significantly reduces the service, we will tell you in the app or by email and, if you are on a paid plan and unhappy, you may cancel.
Ending it
- You can uninstall StatementClerk from your Shopify admin at any time. That cancels the subscription through Shopify, immediately revokes our access to your store, and starts the deletion described in the privacy policy: about 48 hours later, on Shopify's shop-deletion signal, all your PDFs and records are erased. Statements already emailed remain with the people who received them.
- We may end or suspend your access for a serious or repeated breach of the acceptable-use section, or if required by law or by Shopify. Except where the breach makes it inappropriate, we will give notice and a chance to put it right.
Liability
Nothing in these terms limits or excludes liability where the law does not allow it to be limited or excluded.
Subject to that: neither party is liable for indirect or consequential loss, loss of profit, loss of business or loss of goodwill. Our total liability arising from the service, in aggregate, is limited to the greater of the fees you paid us in the 12 months before the claim arose, or 100 US dollars.
You accept that this limit is reasonable given what the service costs and what it does: StatementClerk sends documents, never money. It cannot charge, refund, or move a payment, and every figure it sends is one you can trace back to your own Shopify records.
Relationship with Shopify
StatementClerk is a third-party application. Shopify is not a party to these terms, provides no warranty for StatementClerk, and is not liable for it. Your use of Shopify is governed by Shopify's own terms, which take precedence over these for anything concerning the Shopify platform itself.
Law
These terms are governed by the laws of the Republic of Lithuania, and the courts of Lithuania have jurisdiction. If you deal with us as a business in another country, this does not remove any right you have under the mandatory consumer or commercial law of your own country where such law applies.
Changes to these terms
If these terms change materially, we will note it here with a new effective date and flag it in the app. Continuing to use StatementClerk after a change means you accept the updated terms; if you do not, uninstall.
